Terms and Conditions for WiFi Devices

Effective Date: April 1, 2025

Welcome to NXT Square, Inc.! These Terms and Conditions (“Terms”) govern your access to and use of our website, products, and services. By placing an order or using our services, you agree to be bound by these Terms.

1. Overview

NXT Square, Inc. (“we,” “us,” or “our”) is based in California and provides portable hotspot devices, eSIMs, and related connectivity services through this website.

2. Products and Services

Our products include the following categories of WiFi devices:

Portable hotspot devices, which provide wireless internet access using cellular networks and can be used without requiring a fixed power source
Plug-in WiFi routers, which provide wireless internet access using cellular networks and require connection to a power source

We also sell data packages that are intended for use exclusively with the WiFi devices we provide.

Some WiFi devices may include a complimentary data package. This data package is provided as-is and may be subject to expiration, usage limits, or network availability. It has no cash value and is not refundable, transferable, or replaceable if lost or unused.

3. Orders and Payments

By placing an order, you confirm that:

All information provided is accurate
You are authorized to use the selected payment method
You agree to the pricing and charges displayed at checkout

We reserve the right to cancel or refuse any order at our discretion.

4. Data Activation and Usage

We offer data packages that provide internet access through supported cellular networks. These include both complimentary and paid data packages.

Complimentary data packages may be included with certain WiFi devices. These are provided as-is and are not refundable, transferable, or replaceable if lost or unused.

Activation window: The complimentary data package must be activated within 365 days from the date of device purchase. If the data is not activated within that period, it will expire and cannot be used or reissued.
Usage period: Once activated, the data will remain available for 30 consecutive days. After 30 days, any unused data will expire and cannot be restored or refunded.

Paid data packages may be purchased for use exclusively with the WiFi devices we provide. Until https://wifly.us becomes available, purchases can be made through https://shop.nxtsq.com. Once launched, all data package activations must be completed through https://wifly.us.

Activation window: Paid data packages must be activated within 365 days of the date of purchase. If not activated within this time, the data package will expire and cannot be used or refunded.
Usage period: Once activated, the data will remain available for 30 consecutive days. After 30 days, any unused data will expire and cannot be restored or refunded.
Paid data packages are non-refundable once activation has occurred or any portion of the data has been used.

We do not guarantee uninterrupted service, specific speeds, or coverage in all locations. Service availability depends on carrier network conditions, signal strength, and other factors outside our control.

5. Returns

We accept returns within 30 days of purchase.

If unopened: A refund will be issued, minus a return shipping fee of $10.
If opened or used: A refund will be issued, minus (1) the $10 return shipping fee, (2) a $10 restocking fee, and (3) charges for any portion of the complimentary data package that was used. The amount charged is based on the data volume used and our standard data pricing at the time of return. For details, please contact us at info@nxt-square.com.

All returned items must include the original accessories and be in good condition.

You must contact us at info@nxt-square.com prior to returning any item. A return shipping label and instructions will be provided. Returns sent without prior authorization may not be accepted.

Once the return is received and inspected, your refund will be processed accordingly.

6. Warranty and Repairs

Our devices are covered under warranty for manufacturing defects for the earlier of:

Four (4) weeks from the date the device was first activated, or
Three (3) months from the date of purchase

The warranty does not cover damages caused by misuse, accidents, or unauthorized modifications.

After the warranty period, or if repairs are needed due to damage you caused, a paid repair service is available. Please contact us to inquire about repair service fees and details.

7. Use of Devices and Services

You agree to use our devices and services only for lawful purposes and in accordance with all applicable laws. Misuse may result in service suspension or termination without refund. Service availability depends on third-party carrier networks and is not guaranteed in all locations.

8. eSIM Compatibility

You are responsible for ensuring that your device is compatible with the purchased eSIM. We are not liable for issues related to incompatibility.

9. Intellectual Property

All content created, published, or distributed by NXT Square, Inc.—including but not limited to website content, product descriptions, images, logos, promotional materials, flyers, posters, email content, and other marketing or branding assets—is the property of NXT Square, Inc. and may not be copied, modified, or reused without our prior written permission.

10. Limitation of Liability

We are not responsible for indirect, incidental, or consequential damages related to the use or inability to use our products or services. This includes lost profits, lost data, or disruptions in service.

11. Eligibility

By using our website or placing an order, you confirm that you are at least 18 years old, or that you have the consent of a parent or legal guardian to use our services and agree to these Terms. If you are under 18, you may only use our services under the supervision of a parent or legal guardian.

12. Dispute Resolution

Any dispute arising from these Terms or your use of our products and services will be resolved through binding arbitration in Los Angeles County, California.

You agree to waive any right to bring or participate in a class action lawsuit or class-wide arbitration. Each dispute will be handled on an individual basis.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Any arbitration or legal proceeding shall be conducted in Los Angeles County.

14. Changes to Terms

We may update these Terms from time to time. Updates will be posted on this page. Continued use of our services after changes are posted constitutes acceptance of those changes.
